TERMS OF USE / END USER LICENSE AGREEMENT (EULA) – DENNTECH TRADING SOLUTIONS

These Terms of Use (“Terms”) are a binding agreement between you and DennTech Trading Solutions (“DennTech,” “we,” “us”). By purchasing, downloading, installing, accessing, or using any DennTech software — including DennTech Elite Bot (strategy packs and All-25) and DennTech Crypto Suite utilities ($79.99 catalog product) — you agree to these Terms and the Liability Waiver & Disclaimer. If you do not agree, do not purchase or use the Software.
1. LICENSE GRANT
Subject to your payment (where applicable) and compliance with these Terms, DennTech grants you a personal, non-exclusive, non-transferable (except as DennTech may allow in writing), non-sublicensable license to install and use the purchased Software on devices you own or control for your own lawful personal or internal business use. A “lifetime” license means a perpetual license to the version(s) delivered under your purchase, subject to these Terms; it is not a promise of perpetual free updates, new strategies, new modules, exchange coverage, or support. DennTech may offer updates or additional products separately.
2. WHAT THE SOFTWARE IS (AND IS NOT)
Elite Bot is desktop trading automation software that can place orders on exchanges you connect using credentials you control. Crypto Suite provides desktop utilities (portfolio, risk, DCA helpers, backtester, tax helpers, comparison, bot monitor, and similar tools). Crypto Suite is not a trading bot and does not place trades unless you separately run trading software you control. DennTech is not an NFA member, not a CFTC registrant, and not a CTA. Nothing DennTech provides is financial, investment, tax, or legal advice.
3. INTELLECTUAL PROPERTY
DennTech and its licensors own all right, title, and interest in the Software, branding, documentation, and related materials, including copyrights, trademarks, trade secrets, and other IP. These Terms grant a limited license only; no ownership is transferred. You may not remove proprietary notices.
4. LICENSE RESTRICTIONS
You may not (and may not permit others to): reverse engineer, decompile, disassemble, or attempt to derive source code except to the limited extent such restriction is prohibited by law; copy, modify, or create derivative works except as expressly allowed; rent, lease, sell, sublicense, redistribute, or publicly host the Software; circumvent license, payment, or access controls; use the Software for unlawful purposes; or use it to provide a competing hosted trading service built primarily on DennTech’s proprietary code.
5. UPDATES AND SUPPORT
DennTech may provide updates, patches, or documentation at its discretion. Lifetime access does not guarantee ongoing feature development, strategy additions, exchange integrations, or response-time SLAs. Support channels and hours may change; current options are described on the site (for example FAQ and Contact).
6. NO REFUNDS; EXCHANGE OR REPLACEMENT ONLY
All sales are final. DennTech does not provide refunds. If there is a genuine delivery or license fulfillment issue, DennTech may provide an exchange or replacement of the purchased Software access at its discretion. Trading losses, performance dissatisfaction, change of mind, and similar reasons never qualify for a refund or chargeback. See also the Liability Waiver.
7. USER RESPONSIBILITIES
You are responsible for your devices, backups, API keys and permissions (including disabling withdrawals where available), exchange accounts, configuration, monitoring, tax/reporting obligations, and lawful use. DennTech does not custody crypto or fiat.
8. DEMOS AND ILLUSTRATIONS
Live demos, screenshots, and streams are illustrations only, not guarantees of your results, and not advice. Use with real funds can lose money.
9. TERMINATION
Your license terminates automatically if you materially breach these Terms (including unauthorized redistribution or reverse engineering). DennTech may refuse service or disable license keys for fraud, chargeback abuse, or unlawful use. Upon termination you must stop using and delete copies of the Software. Sections that by nature should survive (IP, disclaimers, liability limits, indemnities, refunds rule, governing law) survive termination.
10. EXPORT AND SANCTIONS
You represent that you are not prohibited under applicable U.S. or other export/sanctions laws from receiving the Software, and you will not use or export it in violation of such laws.
11. PRIVACY
DennTech does not currently publish a standalone privacy policy page. For questions about how site contact forms or purchases are handled, use Contact Support or the Support FAQ. Desktop Software that runs locally is designed so exchange API keys stay on your device; third-party services you choose (exchanges, PayPal, email) have their own policies.
12. DISCLAIMERS; LIMITATION OF LIABILITY
THE SOFTWARE IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENNTECH DISCLAIMS ALL WARRANTIES. LIABILITY LIMITS, INDEMNITY, AND RISK DISCLOSURES IN THE LIABILITY WAIVER APPLY TO THESE TERMS. IF LIABILITY IS EVER IMPOSED DESPITE THOSE LIMITS, DENNTECH’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED AMOUNTS YOU PAID TO DENNTECH FOR THE SOFTWARE IN THE PRIOR TWELVE (12) MONTHS.
13. GOVERNING LAW AND VENUE
These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-laws principles. Exclusive venue lies in the state and federal courts located in Kentucky (DennTech’s principal place of business / Kentucky courts), and you consent to jurisdiction there.
14. CHANGES; MISCELLANEOUS
DennTech may update these Terms by posting a new version on this page with an updated date. Continued use after posting constitutes acceptance of changes for ongoing use. If any provision is unenforceable, the remainder stays in effect. These Terms plus the Liability Waiver and your purchase receipt are the entire agreement for the Software license. Catch-all: renamed or future DennTech modules, strategies, and utilities are covered unless a separate written agreement says otherwise.
