LIABILITY WAIVER & FULL DISCLAIMER – DENNTECH TRADING SOLUTIONS

IMPORTANT: THIS IS A LEGALLY BINDING WAIVER. BY PURCHASING, DOWNLOADING, INSTALLING, LAUNCHING, OR USING ANY DENNTECH TRADING SOLUTIONS SOFTWARE — INCLUDING THE DENNTECH ELITE BOT (STRATEGY PACKS AND ALL-25), THE DENNTECH CRYPTO SUITE UTILITIES, AND ANY RELATED OR FUTURE MODULES, STRATEGIES, OR TOOLS — YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND FULLY AGREE TO ALL TERMS OF THIS LIABILITY WAIVER AND DISCLAIMER AND THE TERMS OF USE. IF YOU DO NOT AGREE, YOU MUST IMMEDIATELY CEASE USE AND DELETE THE SOFTWARE.
DennTech Trading Solutions, its owners, developers, employees, officers, directors, affiliates, agents, contractors, successors, and any associated parties (collectively “DennTech”) PROVIDE THIS SOFTWARE STRICTLY ON AN “AS IS” AND “AS AVAILABLE” BASIS WITH NO WARRANTIES OR REPRESENTATIONS OF ANY KIND, EXPRESS OR IMPLIED.
1. SOFTWARE COVERED
This waiver applies to all DennTech software and related materials, including without limitation: (a) DennTech Elite Bot and any Elite strategy packs or the All-25 license; (b) DennTech Crypto Suite desktop utilities (portfolio, risk, DCA, backtester, tax helpers, comparison, bot monitor, and similar tools); (c) documentation, demos, screenshots, streams, websites, and support communications; and (d) any renamed, updated, or future modules, strategies, utilities, or products DennTech may offer. References to “the Software” mean all of the foregoing.
DennTech Crypto Suite is a set of desktop utilities. It is not a trading bot and does not place trades unless you separately run trading software that you control.
2. DENNTECH IS NOT A FINANCIAL ADVISOR OR REGULATED TRADING INTERMEDIARY
DennTech Trading Solutions is not a registered investment advisor, broker-dealer, financial advisor, commodity trading advisor (CTA), futures commission merchant, or any other type of financial professional. DennTech is not a member of the National Futures Association (NFA) and is not registered with the U.S. Commodity Futures Trading Commission (CFTC). Nothing in the Software, documentation, website, marketing materials, live demo, screenshots, streams, or any communication from DennTech constitutes financial advice, trading recommendations, investment advice, tax advice, legal advice, or a solicitation to buy or sell any cryptocurrency, commodity, or security.
3. CRYPTO TRADING AND SOFTWARE USE INVOLVE SUBSTANTIAL RISK
You acknowledge that cryptocurrency and digital-asset markets are volatile and that automated or assisted trading can result in partial or total loss of capital. You may lose some, all, or more than your invested capital due to market moves, liquidity, exchange failures, regulatory changes, configuration errors, bugs, connectivity issues, or other events. Past performance of any bot, strategy, utility, demo, or illustration is not indicative of future results. DennTech makes no guarantees regarding profitability, performance, accuracy, uptime, or risk reduction.
4. LIVE DEMO, SCREENSHOTS, AND STREAMS
Any live demo, screenshot, recording, stream, chart, or example output is for illustration only. Demo results are not your results, are not a guarantee, and are not advice. Running a demo or any Software with real funds can lose money. Your outcomes depend on your settings, markets, exchanges, timing, and decisions.
5. TAX FEATURES ARE HELPERS ONLY
Any tax-related features in Crypto Suite or elsewhere are convenience helpers only. They are not tax, accounting, or legal advice. DennTech does not prepare, review, or file tax returns for you. You are solely responsible for your own tax obligations and should consult a qualified professional.
6. NO CUSTODY; LOCAL CONTROL OF KEYS
DennTech does not custody cryptocurrency or fiat. Where Software uses exchange API keys, those keys remain on your local device under your control. You are responsible for API permissions (including disabling withdrawals where available), key security, and exchange account settings.
7. AGE AND LAWFUL USE
You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) and may use the Software only where such use is lawful. You are responsible for compliance with applicable laws, exchange terms, and sanctions/export restrictions.
8. NO REFUNDS; EXCHANGE/REPLACEMENT ONLY
ALL SALES ARE FINAL. DENNTECH DOES NOT PROVIDE REFUNDS. If there is a genuine delivery or license fulfillment issue (for example, you paid but did not receive access/download/license materials), DennTech may, at its discretion, provide an exchange or replacement of the purchased Software access. Trading losses, market outcomes, dissatisfaction with strategy performance, change of mind, or similar reasons never qualify for a refund, chargeback, or payment reversal. Initiating a chargeback for trading losses or buyer’s remorse after digital delivery may be treated as a breach of this waiver and the Terms of Use.
9. COMPLETE RELEASE OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, DENNTECH AND ALL ASSOCIATED PARTIES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING OUT OF OR CONNECTED WITH YOUR PURCHASE OR USE OF THE SOFTWARE. THIS INCLUDES, WITHOUT LIMITATION: loss of funds, capital, profits, or cryptocurrency; account liquidation, margin calls, or forced closures; losses from strategy execution or risk settings; API misuse, exchange downtime, or connectivity failures; software bugs, errors, or crashes; tax, legal, or reporting mistakes; and any damages from your own decisions, configuration, or overrides.
10. LIABILITY CAP
WITHOUT LIMITING THE FOREGOING, IF DENNTECH IS EVER FOUND LIABLE TO YOU DESPITE THIS WAIVER, DENNTECH’S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU ACTUALLY PAID TO DENNTECH FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. SOLE RESPONSIBILITY RESTS WITH YOU
You are solely responsible for all trading or utility activity you initiate; funds and assets in your accounts; API keys and permissions; configuration of risk controls and strategies; monitoring Software and intervening when needed; and compliance with laws, taxes, and exchange rules.
12. INDEMNIFICATION
You agree to release, indemnify, defend, and hold harmless DennTech and all associated parties from claims, losses, liabilities, damages, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Software, whether based on contract, tort, negligence, strict liability, or any other theory. This waiver survives termination of your use of the Software.
13. GOVERNING LAW AND VENUE
This waiver is governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-laws principles. You agree that the state and federal courts located in Kentucky (in the venue of DennTech’s principal place of business in Kentucky) have exclusive jurisdiction over disputes arising out of or relating to this waiver or the Software, and you consent to personal jurisdiction there.
14. RELATED TERMS
Use of the Software is also subject to the Terms of Use (EULA). If there is a conflict on a specific topic, the more specific provision controlling that topic applies. For general product questions, see the Support FAQ or Contact Support.
BY PURCHASING OR USING THIS SOFTWARE YOU CONFIRM THAT YOU HAVE READ THIS ENTIRE WAIVER, UNDERSTAND IT, AND AGREE TO BE BOUND BY IT. IF YOU DO NOT AGREE, DO NOT PURCHASE, DOWNLOAD, INSTALL, OR USE THE SOFTWARE.
